Terms of Service

These Terms of Service (“Terms”) govern your use of the TradeOpto mobile application, the tradeopto.comwebsite, and the related services (together, the “Service”) provided by TradeOpto(“we”, “us”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Who may use the Service

The Service is a business tool for contractors and trade professionals. You must be at least 18 years old and able to enter into a binding contract. If you use the Service on behalf of a company, you confirm that you are authorized to bind that company to these Terms.

2. Your account

• You are responsible for the accuracy of the information you provide and for keeping your credentials confidential. Activity under your account is your responsibility.
• You may sign in with an email address and password, or with Google or Apple. Those providers have their own terms.
• You can delete your account at any time from Settings in the app. Deletion removes your projects, quotes, recordings, photos, and generated documents as described in the Privacy Policy.

3. What the Service does, and what it does not

TradeOpto turns voice recordings and notes into draft estimates using automated transcription and AI-generated suggestions, matched against a construction catalog. All output is a draft. Quantities, prices, labor estimates, timelines, taxes, and legal wording are suggestions that you must review and are solely responsible for before you send a quote to a client. We do not guarantee that any estimate is complete, accurate, compliant with local codes or licensing rules, or suitable for a particular job.

The Service is not a party to any agreement between you and your clients. Quotes, e-signatures, and payment milestones recorded in the Service are tools you use in your own business; the resulting contracts, deposits, and payments are between you and your client.

4. Your content

• You keep ownership of everything you upload or create: recordings, transcripts, project details, client contact information, photos, logos, quotes, and signatures (“Your Content”).
• You grant us a limited license to store, process, transmit, and display Your Content only as needed to operate the Service for you, including sending transcripts and notes to our AI and speech providers to generate results.
• You confirm that you have the right to record and upload Your Content, including any consent required from people whose voices, images, or personal details appear in it, and that you will only enter client details you are permitted to use.

5. Free tier and TradeOpto Pro

• Free accounts include a limited number of project slots. When the limit is reached, further recordings and quotes require a TradeOpto Pro subscription.
• TradeOpto Pro is sold on the tradeopto.com website and billed monthly or annually in US dollars through our payment processor. Prices are shown at checkout before you subscribe.
• Subscriptions renew automatically until cancelled. You can cancel at any time from the billing page; access continues until the end of the period you have paid for. Except where required by law, payments are not refundable for partial periods.
• We may change prices with reasonable advance notice; the new price applies from your next renewal after the notice.
• The iOS app itself does not sell subscriptions. Existing entitlements are available in the app after signing in.

6. Acceptable use

You agree not to:

• use the Service for anything unlawful, fraudulent, or deceptive, including misleading quotes;
• upload content that infringes someone else’s rights or that you have no right to share;
• attempt to access other users’ data, probe or disrupt the Service, or bypass usage limits;
• resell, rent, or offer the Service to third parties as your own product;
• use automated means to scrape or bulk-download content from the Service.

7. Third-party services

The Service relies on third-party providers for speech recognition, AI text generation, email delivery, payment processing, and hosting. We choose reputable providers and share only what is needed to provide the feature you are using, as described in the Privacy Policy. We are not responsible for those providers’ availability or for the content of automatically generated results.

8. Availability and changes

We work to keep the Service available but do not promise uninterrupted or error-free operation. We may add, change, or remove features, and we may suspend or terminate accounts that violate these Terms. You can export your quotes as PDFs at any time.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT TRANSCRIPTS, EXTRACTED ITEMS, PRICES, OR ESTIMATES ARE ACCURATE OR COMPLETE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TRADEOPTO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST CONTRACTS, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE OR FROM ANY QUOTE OR AGREEMENT YOU CREATE WITH IT. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED US DOLLARS IF YOU PAID NOTHING. Some jurisdictions do not allow these limits, so parts of this section may not apply to you.

11. Indemnity

You will defend and indemnify us against claims arising from Your Content, from quotes or agreements you make with your clients, or from your breach of these Terms.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if required by law, with notice where practical. Sections 3, 4, 9, 10, 11, and 13 survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of California and the United States, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in California, and you consent to their jurisdiction, unless applicable consumer law gives you the right to bring a claim where you live.

14. Changes to these Terms

We may update these Terms. Material changes will be reflected by updating the “Last updated” date above and, where appropriate, by notice in the app or by email. Continued use after a change means you accept the updated Terms.
